Senior Contracts Manager

 

Vitria has an immediate opening based in Sunnyvale, CA for a Senior Contracts Manager who will report to the Vice President of Finance.

Position Summary

  • Responsible for independently analyzing, negotiating, and drafting of a wide variety of domestic and international agreements that comply with company policies and risk tolerance. Agreements include complex end user, distribution, strategic alliance, OEM, in-bound licensing, professional services, marketing, R/D and technology acquisition, and facilities agreements including drafting agreements where no existing template is available. Coordinate administration of all agreements through contracts administration/paralegal staff.
  • Advise sales professionals and management, as well as finance and other company departments on legal issues and risks, intricate deal structures, approval processes, company policies and procedures, intellectual property, and negotiation strategy.
  • Support the continuous improvement of standard form agreements and legal processes.

Job Responsibilities

  • Daily tracking and review of contracts, drafting and negotiation of contractual terms and conditions in various agreements, statements of work, order forms, non-disclosure agreements and other commercial agreements. Determines methods and procedures on new assignments, and may provide guidance to other personnel.
  • Extensive interface with internal departments and customer/vendor interaction.
  • Communicate corporate and legal department policies and approval processes for contract changes to Vitria personnel.
  • Assist sales, professional services and others in articulating and obtaining approvals for contract changes.
  • Support and lead the continuous improvement of standard form agreements and legal and approval processes, as well as training on such topics.
  • Requires minimal supervision.
  • Special projects as requested.
  • Supervision of paralegals or other contracts managers as required.

Requirements

  • BA or BS degree in a related field with excellent academic record. Continuing education in post-graduate business and or intellectual property law, negotiation legal writing desirable. required. J.D. preferred, but not mandatory.
  • Typically requires a minimum of 8 years of related experience. Past experience with intellectual property and other commercial agreements required, preferably in a fast-paced technology/Internet company. Must be proficient in software revenue recognition regulations.
  • Ability to prioritize and manage numerous tasks quickly, accurately, and efficiently in a fast paced environment and under deadline pressure Must exhibit good judgment and show commitment to professionalism and collegiality. Diligent, flexible, detail orientated, excellent organizational skills.
  • Strong English language writing and oral (in person and by telephone) communication skills. Additional languages desirable.
  • Excellent computer skills required (MS Office, internet, e-mail).
